The below terms applies to Copier solutions with X-Corp Business Solutions

X-CORP BUSINESS SOLUTIONS COPIER TERMS AND CONDITIONS

TERMS AND CONDITIONS


  1. Provided that the customer is not in default of any of his obligations with X-Corp Business Solutions, X-Corp Business Solutions undertakes the terms and conditions set out in this agreement, to maintain the equipment as listed at the location specified.
  2. This agreement covers all callouts during normal business hours as reasonably requested and necessitated by causes other than negligence, misuse, fire, water, accidents, power surges, or force majeure. Calls related to power line and telephony infrastructure faults, damage to machine main boards, fax cards, print controllers, network cards, and hard drives are specifically excluded. 
  3. Calls for software adjustments are chargeable 30 days after installation.
  4. All photocopier parts, consumables and facsimile parts will be replaced for the contract period with the exception of items considered by X-Corp Business Solutions to be expendable, such as paper, or any other parts damaged by carelessness, misuse and overuse of the machine as stipulated by X-Corp Business Solutions maximum rated volume per month.
  5. Should the monthly copy volume be in excess of the manufacturers maximum rated volume per month, this may lead to additional costs over and above the normal wear and tear. X-Corp Business Solutions will not be held responsible for the performance of the equipment where X-Corp Business Solutions recommended monthly volume has been exceeded. X-Corp Business Solutions shall be entitled to either exclude the equipment in terms of this agreement or repair the equipment and recover the additional expenses incurred on parts usage.
  6. Where the copy charge agreed excludes expendable items and these items do not produce X-Corp Business Solutions specified monthly volumes, the shortfall may be charged monthly on a pro-rata basis.
  7. All colour copy charges are based on 30% page coverage and all black copy charges are based on 10% coverage. Should the percentage coverage increase above the percentage amount specified then X-Corp Business Solutions may charge accordingly for excess toner usage.
  8. Where the machine monthly volume is short of the customers recommended monthly volume, X-Corp Business Solutions may charge monthly for the difference between the two monthly volumes at the agreed copy charge.
  9. Should the equipment be removed from the address as specified above, or not be made available during normal business hours. X-Corp Business Solutions shall be entitled to either exclude the equipment in terms of this agreement or to service the agreement, recover the additional expenses incurred and to charge as per clause 8.
  10. The equipment shall be installed in such a manner that X-Corp Business Solutions shall have access to it without having to move the equipment or surrounding items. The equipment must not be installed in direct sunlight, abnormal temperatures, and/or dusty environments.
  11. This agreement will continue in force for an initial period of five years from the date hereof, and will be deemed to have been renewed for a subsequent annual period unless terminated by either party by written notice to the other, giving no less than ninety days’ notice by registered post prior to the end of the initial or any subsequent period. Early termination by the customer will result in a charge of the average monthly billing for the unexpired portion of the agreement or the customers recommended monthly volume for the unexpired portion of the agreement whichever is greater.
  12. The rates shown hereafter are payable 7 days from date of invoice, failing which service may be suspended without notice. The Customer agrees to pay a monthly administration charge on all outstanding balances that may be due. The Customer further agrees to pay all collection and attorney’s fees, whether suit be brought or not, incurred by X-Corp Business Solutions in collecting any past due balances or in the recovery of any equipment. 
  13. The rates may be varied from time to time in accordance with X-Corp Business Solutions current pricing structures, and contract structures necessitated by unfavourable exchange rates, inflation, and increase in labour, spares, and fuel or transport costs.
  14. There shall be added to the fee for this agreement, any tax now or hereafter imposed on, or in connection with the sale or delivery of furnishing of such services or materials described herein.
  15. X-Corp Business Solutions shall in no way be liable for any loss or consequential loss of any kind resulting from the performance or lack of performance of the equipment or from any other cause whatsoever in connection with this agreement.
  16. X-Corp Business Solutions responsibility ceases if the equipment is repaired or adjusted by any person other than a representative authorised by X-Corp Business Solutions or should supplies and accessories other than those purchased from X-Corp Business Solutions be used.
  17. Callouts for software support or network faults are chargeable at X-Corp Business Solutions current rates.
  18. The customer agrees that he/she may not cede any of his/her rights or obligations under this agreement to another without prior written consent by X-Corp Business Solutions.
  19. This agreement constitutes the entire agreement between the customer and X-Corp Business Solutions and no warranty, or statement not contained in this agreement shall be binding on X-Corp Business Solutions.
